Terms of Service

Who these Terms apply to
These Terms govern your use of NextDoor AI, operated by Fit Guy Next Door Ventures Private Limited ("we", "us", "our"), CIN U74909DL2025PTC451720. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
Our business and operating address is G-81 & G-82 (Old No. G-23-A), Office No. 201, Laxmi Nagar, New Delhi, East Delhi, Delhi 110092. You can contact us at support@projectscaleup.in. These Terms are effective from 21 June 2026.
1. The Service
NextDoor AI is a CRM and sales platform for coaches and service businesses, including lead management, call recording and grading, an AI sales co-pilot, client reporting, and related features. Features may change, launch, or be withdrawn over time.
2. Eligibility and accounts
You must be at least 18 and able to enter a contract. You are responsible for your account, your login details, and everything done under your account. Keep your credentials secure and tell us promptly of any unauthorised use.
3. Plans, billing, and taxes
Paid plans are billed in advance on a recurring basis. Prices are in INR and include GST. Payments are processed by Cashfree. Upgrades, downgrades, cancellations, and refunds are governed by our Refund and Cancellation Policy. We may change prices with reasonable notice; changes apply from your next billing cycle.
4. Acceptable use
You agree not to misuse the Service, including: breaking the law; uploading content you have no right to; sending spam or messages that breach telecom or anti-spam rules; attempting to breach security; reselling or copying the Service; or using it to harm others. Your obligations when recording calls are set out in section 5.
5. Call recording, transcripts and consent
- A1. Definitions. In this section: "Recording" means any audio or audiovisual capture of a call, meeting, or conversation. "Recording Provider" means the third-party service used to create and host Recordings (currently Fathom). "Transcript" means a text record derived from a Recording. "Recording Link" means a reference or URL pointing to a Recording held by the Recording Provider. "Participant" means any person whose voice, image, or personal data is captured in a Recording or Transcript. "You" or "User" means the account holder and its authorised users. "Service" means NextDoor AI. "Sub-processor" means a third party engaged by the Company to process data to provide the Service. "DPDP Act" means the Digital Personal Data Protection Act, 2023.
- A2. What the Service stores, and what it does not. The Service does not create, host, or store the Recording itself. Recordings are created and stored by the Recording Provider under that provider's own terms and privacy policy. The Service stores the Transcript and a Recording Link, and processes the Transcript to provide features including summaries, scoring, and AI-assisted suggestions. You are responsible for your own relationship and configuration with the Recording Provider, including any consent and retention settings there.
- A3. You are solely responsible for consent. You, and not the Company, are solely and fully responsible for determining whether, and on what legal basis, any call may be recorded and transcribed, and for obtaining every consent, authorisation, notice, and permission required by law from every Participant before any Recording or Transcript is created or imported into the Service. The Service and its transcript and analysis features are tools only; the Company does not advise on, and is not responsible for, the legality of any Recording or Transcript you create, import, or process.
- A4. Multi-jurisdiction warranty. You represent and warrant that each Recording and Transcript complies with all applicable laws in every jurisdiction relevant to the call, including the jurisdiction of every Participant. You acknowledge that consent requirements differ by jurisdiction, that some jurisdictions require the consent of all parties to a call, and that you are responsible for meeting the strictest applicable standard. This obligation applies regardless of where you or any Participant are located.
- A5. Notice and consent obligations. Before any call is recorded or transcribed through or for use in the Service, you will, at minimum: (a) clearly inform every Participant that the call is being recorded and may be transcribed and analysed; (b) state the purpose; (c) obtain, and be able to evidence, each Participant's consent where consent is required; (d) honour any Participant's refusal, withdrawal of consent, or request to stop recording or to delete their data; and (e) provide Participants any notice or information about their rights that the law requires.
- A6. Prohibited recordings. You will not use the Service to record, transcribe, store, or analyse any call where doing so is prohibited by law, where you lack a lawful basis, or for any unlawful, deceptive, harassing, discriminatory, or fraudulent purpose. You will not process Recordings or Transcripts involving categories of persons or data for which you cannot establish a lawful basis.
- A7. Lawful basis and sensitive data. You are responsible for establishing and maintaining a valid lawful basis under the DPDP Act and any other applicable law for creating and processing Recordings and Transcripts. Recordings and Transcripts may contain sensitive or special-category personal data. You are responsible for determining whether such data may lawfully be processed and for obtaining any heightened consent or safeguards required.
- A8. Data roles. As between you and the Company, you are the Data Fiduciary (controller) for all Participant personal data contained in your Recordings and Transcripts, and the Company acts as a Data Processor processing that data solely on your documented instructions to provide the Service, in accordance with the Privacy Policy and applicable data-protection law including the DPDP Act. You are responsible for the lawful basis, notices, and consents required for that data.
- A9. Licence to process. You grant the Company a limited, non-exclusive, worldwide, royalty-free licence to host, store, process, and analyse your Transcripts and Recording Links, and to generate transcripts, summaries, scores, and AI-derived outputs from them, solely to provide and maintain the Service to you. The Company claims no ownership of your Recordings, Transcripts, or Participant data.
- A10. Sub-processors. The Company uses Sub-processors to provide the Service, including the Recording Provider (Fathom) for Recordings and transcription, the AI providers named in the AI Co-pilot and Data Handling section for analysis, and hosting providers (Cloudflare and Supabase). Each Sub-processor is bound by confidentiality and security obligations. The current list of Sub-processors is published at the sub-processor section of our Privacy Policy.
- A11. Cross-border processing. You acknowledge and consent that Transcripts and related data may be processed outside India by Sub-processors, including the Recording Provider and the AI providers, for the purposes of providing the Service. Such transfers are made subject to appropriate safeguards and in accordance with applicable law.
- A12. Security. The Company applies reasonable technical and organisational measures to protect Transcripts and Recording Links, including encryption in transit, encryption at rest, role-based access controls, multi-factor authentication on Company team accounts, and edge protection on its infrastructure, and automated daily database backups with restore points covering the most recent 7 days. No method of transmission or storage is completely secure, and the Company does not warrant absolute security.
- A13. Retention and deletion. The Company retains your Transcripts and Recording Links for as long as your account is active. On account termination, cancellation, or non-payment, the Company will delete your Transcripts and Recording Links within 30 days, subject to any legal retention obligation. Recordings themselves are governed by the Recording Provider's retention settings, which you control. You may request deletion of specific Transcripts at any time, and the Company will action verified requests within a reasonable period.
- A14. Records of consent. You will create and retain records of Participant consent sufficient to demonstrate compliance with this section and applicable law, and will provide them to the Company or to a regulator on reasonable request.
- A15. Indemnity. You will indemnify, defend, and hold harmless the Company, its directors, officers, employees, and affiliates from and against any and all claims, demands, proceedings, losses, fines, penalties, damages, liabilities, and costs (including reasonable legal fees) arising out of or relating to any Recording or Transcript you create, import, store, or process, including any failure to obtain required consent, any breach of this section, or any claim by a Participant, the Recording Provider, or a regulator.
- A16. Suspension and termination. The Company may suspend or terminate your access immediately, without liability, if it reasonably believes you have used the recording, transcript, or analysis functionality unlawfully or in breach of this section, and may preserve or disclose Transcripts or Recording Links where required by law or valid legal process.
- A17. No Company liability. To the maximum extent permitted by law, the Company is not liable for any Recording, Transcript, or Recording Link you create, import, store, or process through the Service, nor for any consequence of your failure to obtain required consent. The recording, transcript, and analysis functionality is provided "as is" and "as available". The Company's aggregate liability is subject to the limitation-of-liability cap in the Terms of Service.
6. Your data and content
You keep ownership of the data and content you put into the Service. You grant us a limited licence to host and process it to run the Service for you, as described in the Privacy Policy. You are responsible for the accuracy and legality of the data you upload.
7. AI features
The Service includes an AI sales co-pilot that drafts, scores, and suggests. Its output is assistance, not professional advice, and can be wrong. You are responsible for reviewing AI output before relying on or sending it.
8. Third-party integrations
The Service connects to third-party tools (for example Google, payment, and messaging providers). Your use of those tools is governed by their own terms, and we are not responsible for them.
9. Intellectual property
The Service, including its software, design, and brand, is owned by us or our licensors. These Terms do not give you any rights in it beyond use of the Service.
10. Availability
We work to keep the Service available but do not guarantee it will be uninterrupted or error-free. We may suspend it for maintenance, security, or legal reasons.
11. Termination
You can stop using the Service and close your account anytime. We may suspend or end your access if you breach these Terms or to protect the Service or others. On termination, your right to use the Service ends, and we delete or anonymise your data within 30 days, subject to any legal obligation to retain it. You may export your data before termination.
12. Disclaimers and liability
The Service is provided "as is". To the extent permitted by law, we exclude implied warranties, and our total liability to you is limited to the fees you paid us in the 3 months preceding the claim. We are not liable for indirect or consequential loss, including lost profits or lost data.
13. Indemnity
You agree to cover us for claims arising from your misuse of the Service or breach of these Terms.
14. Changes
We may update these Terms. We will post the updated version with a new date and, for material changes, give reasonable notice. Continuing to use the Service means you accept the update.
15. Governing law
These Terms are governed by the laws of India. The courts at Delhi have exclusive jurisdiction over any dispute.
